Welcome to the construction site. These Terms of Service (“Terms”) are a binding contract between you and Innovation Hub Foundation (“iHub,” “we,” “us,” or “our”). By accessing the iHub website (the “Site”), applying to Blueprint, Foundation, Elevation, or Rebuild programs, attending events, receiving SMS communications, using our coworking space, or otherwise using any of our services (collectively, the “Services”), you agree to these Terms. If you do not agree, do not use the Services.

We may update these Terms at any time. We’ll post the new version here and update the Effective Date. Material changes will be highlighted and, where required by law, we’ll provide notice. Continued use after changes means you accept them.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet this requirement.

If you are agreeing to these Terms on behalf of a company or legal entity, you represent that you have authority to bind that entity.

2. Your Account

Some Services require an account. You are responsible for:

Keeping your password secure

All activity under your account

Notifying us immediately of unauthorized use at [email protected]

We may suspend or terminate accounts that violate these Terms or appear fraudulent.

3. Program Applications & Participation (Blueprint → Elevation → Rebuild)

Application materials you submit become our property for review and evaluation purposes (you retain ownership of your underlying intellectual property).

We may reject any application in our sole discretion. There is no entitlement to acceptance or funding.

If accepted, additional program-specific agreements (e.g., Funding Agreement, Equity Terms, SAFE) will apply and supersede any conflicting provisions here.

You agree to participate in good faith, meet milestones, and provide accurate updates.

4. The Build Fund Investments

Any funding from the Build Fund is governed solely by separate investment documents (SAFE, convertible note, or equity agreement). These Terms do not create any obligation to provide funding.

5. Communications & SMS Messaging

a. Types of Messages You May Receive

By providing your phone number and opting in, you agree to receive SMS messages from iHub, which may include:

Application and acceptance status notifications

Program updates, reminders, and deadlines

Event confirmations, cancellations, or changes

Operational, administrative, or account-related messages

Message frequency varies depending on your interaction with iHub and its Services.

b. SMS Consent & Opt-Out

SMS messages are sent only to users who have explicitly opted in, such as through an application, registration form, event signup, QR code scan, or similar consent-based method.

You may opt out of SMS messages at any time by replying STOP to any message. After opting out, you will no longer receive SMS messages unless you re-subscribe.

c. Message & Carrier Disclaimers

Message and data rates may apply, depending on your mobile carrier and plan.

Wireless carriers are not responsible for delayed or undelivered messages.

SMS services are provided on an “as-available” basis and may be modified or discontinued at any time.

6. Content & Intellectual Property

a. Your Content

You retain ownership of content you submit (including pitches, code, designs, and documents). By submitting content, you grant iHub a worldwide, royalty-free, perpetual, irrevocable license to use, display, modify, and distribute it for:

Evaluating applications

Operating and improving iHub programs

Promoting iHub and its portfolio (including the Site and social media)

b. iHub Content

All other content (logos, templates, photos, copy, and materials) is owned by iHub or its licensors. You receive a limited, non-transferable license to use such content solely for participation in the Services.

c. Feedback

Any feedback or suggestions you provide may be used by iHub without restriction or compensation.

7. Code of Conduct – This Is a Professional Job Site

You agree not to:

Harass, threaten, or abuse others

Share confidential or NDA-protected information

Use the Services for illegal activity

Scrape, spider, or reverse-engineer the Site

Interfere with system operations (including malware or attacks)

We may immediately remove you from premises, programs, or Services for violations.

8. Confidentiality

You may receive non-public information about founders, mentors, or iHub. You agree to keep such information confidential and use it only for legitimate program purposes.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, IHUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IHUB DOES NOT GUARANTEE ACCEPTANCE INTO PROGRAMS, FUNDING, OR BUSINESS SUCCESS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IHUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF $1,000 USD OR THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS.

11. Indemnification

You agree to indemnify and hold iHub harmless from any claims, losses, or expenses (including attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Termination

We may suspend or terminate your access at any time, with or without notice. Upon termination, your right to use the Services immediately ceases. Sections 5 and 8–14 survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Utah.

14. Miscellaneous

These Terms constitute the entire agreement regarding the Services

No waiver is effective unless in writing

If any provision is unenforceable, the remainder remains valid

You may not assign these Terms without our consent; we may assign freely
